3.2 You agree not to:
- copy, reproduce, modify, adapt or create derivative works from any Content without our prior written consent;
- use any Content, including our portfolio work, in any commercial or public presentation, pitch, tender, publication or social media post, or present it as your own work;
- remove or alter any copyright, trademark or other proprietary notices;
- “mirror”, frame, scrape or systematically extract Content from the Website, including for the purpose of training artificial intelligence or machine-learning models;
- use the Website in any way that is unlawful, fraudulent or harmful, or that interferes with its security or operation; or
- introduce viruses, malware or any other harmful code.
3.3 We may suspend or restrict access to all or part of the Website at any time, without notice, for maintenance, updates or any other reason.
04 Intellectual property
4.1 All Content on the Website, and the Website’s design, structure and code, are owned by or licensed to Generator and are protected by Egyptian Law No. 82 of 2002 on the Protection of Intellectual Property Rights, the Berne Convention for the Protection of Literary and Artistic Works, and other applicable intellectual property laws.
4.2 The name “Generator”, our logo and our other brand assets are our trademarks. You may not use them without our prior written consent.
4.3 Nothing in these Terms transfers any intellectual property rights to you.
05 Our portfolio and client work
5.1 The projects shown on the Website are presented to illustrate our work and capabilities. Client names, logos, trademarks and brand identities displayed in our portfolio belong to their respective owners and are shown with permission or in accordance with our agreements with those clients.
5.2 The display of any client work does not mean that the client endorses Generator or any other party, nor does it grant you any right to use that work.
5.3 Case studies may describe outcomes, results or figures relating to a specific project. These are provided for illustration only and are not a guarantee of similar results for any other project.
5.4 If you are a rights holder and believe any material on the Website should not appear, please contact us at hello@thegenerator.co and we will review your request promptly.
06 Enquiries, briefs and pitches
6.1 Submitting an enquiry, brief or contact form through the Website does not create a contract between you and Generator. A project begins only once a Proposal has been signed by both parties and any required advance payment has been received.
6.2 Any information you share with us about your business or project will be treated as confidential and used only to assess and respond to your enquiry.
6.3 Unless otherwise agreed in writing, all concepts, ideas, names, designs and creative directions we present in a pitch, credentials presentation or proposal remain the property of Generator. They may not be used, developed or passed to another party unless you engage us and pay for them.
07 Client engagements
Each project is governed by its own Proposal. The following principles apply to all of our engagements unless the Proposal says otherwise. If there is any conflict between these Terms and a signed Proposal, the Proposal prevails.
7.1 Fees and payment. Fees, payment milestones and accepted currencies are set out in the Proposal. Fees are exclusive of value added tax and any other applicable taxes, which will be added where required by law. We may pause work if an invoice is overdue.
7.2 Scope and revisions. Each Proposal specifies the scope of work and the number of revision rounds included. Additional revisions, new deliverables or changes in direction after approval are treated as changes in scope.
7.3 Change requests. Where requested changes significantly alter the time, scope or value of a project, we will issue a revised Proposal or change order for written approval. Work on the revised scope begins once it is approved and any additional fees are received.
7.4 Feedback and approvals. Clients agree to provide consolidated feedback within ten (10) business days of receiving each Deliverable, unless the Proposal states otherwise. If no feedback is received within that period, the Deliverable may be treated as approved.
7.5 Timelines. Delays caused by late feedback, late payment, late provision of Client materials or changes requested by the Client may extend the project timeline. Such delays do not constitute a breach by Generator.
7.6 Ownership of Final Deliverables. Upon receipt of full payment, the Client receives the rights to the Final Deliverables set out in the Proposal. Until full payment is received, all rights remain with Generator.
7.7 Preliminary Works. Unless the Proposal states otherwise, Generator retains all rights in Preliminary Works, including unselected concepts and routes, which may not be used by the Client.
7.8 Third-party materials. Fonts, stock imagery, software, templates and other third-party materials are licensed under their own terms. Any licence fees are the Client’s responsibility unless included in the Proposal.
7.9 Portfolio rights. Unless agreed otherwise in writing, Generator may display the Deliverables in its portfolio, on the Website, on social media, in award entries and in presentations once the work is publicly launched.
7.10 Confidentiality. Both parties will keep confidential any non-public business, technical or financial information received from the other party during a project.
08 Client responsibilities
Clients are responsible for:
- coordinating decision-making internally and with any third parties, and nominating one point of contact for approvals;
- providing accurate, complete and usable content, information and materials, and confirming that they have the right to use them;
- final proofreading of all Deliverables in every language, including Arabic and English. Errors identified after written approval will be corrected at the Client’s cost;
- conducting trademark searches, legal clearance and registration for any name, logo or brand identity before use or registration. While we design to be original, Generator does not provide legal advice and does not guarantee that any name or mark is available for registration in any country; and
- ensuring that their use of the Deliverables complies with applicable laws, regulations and industry requirements.
09 Careers and submissions
If you apply for a role or submit a portfolio through the Website or to careers@thegenerator.co, you confirm that the work you share is your own or that you have the right to share it, and that your information is accurate. We will use your information only to assess your application, in line with our Privacy Policy.
10 Privacy
We respect your privacy. Any personal data you share through the Website is handled in accordance with our Privacy Policy (thegenerator.co/privacy-policy) and applicable data protection laws, including Egypt’s Personal Data Protection Law No. 151 of 2020 and, where applicable, Saudi Arabia’s Personal Data Protection Law.
11 Third-party links
The Website may contain links to third-party websites, such as social media platforms or client websites. We do not control and are not responsible for the content, policies or practices of those websites. Including a link does not imply our endorsement, and you access them at your own risk.
12 Disclaimer
The Website and its Content are provided “as is” and “as available” for general information only. While we work to keep the Website accurate and up to date, we make no warranties, express or implied, that the Content is complete, accurate or current, or that the Website will be uninterrupted, secure or free of errors or viruses. To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement.
13 Limitation of liability
13.1 To the fullest extent permitted by applicable law, Generator, its partners, employees and suppliers will not be liable for any indirect, incidental, special or consequential loss or damage, including loss of profit, revenue, data, goodwill or business opportunity, arising from your use of, or inability to use, the Website.
13.2 For client engagements, Generator’s total liability in connection with any project is limited to the fees actually paid by the Client for that project under the relevant Proposal.
13.3 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Egyptian law, including liability for fraud or gross negligence.
14 Indemnity
You agree to indemnify and hold Generator harmless from any claims, losses or expenses, including reasonable legal fees, arising from your breach of these Terms or your misuse of the Website or its Content.
15 Changes to these Terms
We may update these Terms from time to time to reflect changes in our services, our business or the law. The updated version will be posted on this page with a revised “Last updated” date. Your continued use of the Website after any change means you accept the updated Terms. Changes to these Terms do not affect Proposals already signed.
16 Governing law and disputes
16.1 These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles.
16.2 The parties will first try to resolve any dispute amicably through good-faith discussion within thirty (30) days of written notice.
16.3 If the dispute is not resolved, it will be submitted to the exclusive jurisdiction of the competent courts of Cairo, Egypt, unless a signed Proposal specifies another forum or arbitration.
17 General
- Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Failure to enforce any right does not waive that right, and a waiver of one breach is not a waiver of any other breach.
- Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
- Language. These Terms are written in English. Where an Arabic version is provided, the English version prevails to the extent permitted by law.
- Entire agreement. These Terms, together with our Privacy Policy and any signed Proposal, form the entire agreement between you and Generator regarding their subject matter.
